Terms of Service

Last updated:

These Terms govern your use of the SmartPayPro website, the SmartPayPro API, the deposit addresses it issues and the smart contracts behind them (together, the "Service"). By using the Service you agree to these Terms. If you use it for a company, you confirm that you can bind that company to them.

If you have signed a separate agreement with us, that agreement prevails wherever it conflicts with these Terms.

01What SmartPayPro does

SmartPayPro is software for accepting and paying out stablecoins. Through the API you get a deposit address for each of your customers, receive signed webhooks and pay out from your own wallet. The Service currently supports USDT on the Polygon network.

The Service is non-custodial. Each deposit address is a smart contract that can only send its USDT balance to the wallets fixed when it was created: yours and the fee wallets. Payouts leave your wallet only when you sign them with your key. We don't hold balances for you, exchange currencies or lend money.

02Accounts and API keys

There is no self-service sign-up. We open an account after talking to you and send your platformId and API key. The information you give us about you and your business must be accurate and kept up to date.

You are responsible for everything done with your API keys and for keeping them secret. If a key leaks, tell us right away so we can revoke it.

Your wallet keys are yours alone. We never see them and cannot recover them, or the funds in a wallet you can no longer access.

03Fees

Your fees are the ones agreed when we open your account. Where nothing specific was agreed, the fees in the pricing section of our website apply.

On top of the percentage fees, each operation carries a network fee in USDT to cover gas: a fixed amount per deposit settlement and, on payouts, an amount quoted before you sign.

Fees are deducted on-chain in the same transaction that sends your share, and every webhook shows the gross amount, each fee and the net. Platforms can charge their merchants a fee on top of ours. That fee is set by the platform, not by us.

Each deposit address fixes its fee split when it is created. If we change our fees, we will tell you in advance, and the change applies only to deposit addresses issued and payouts quoted after it.

You are responsible for the taxes that apply to your payments and to the fees you pay.

04How payments settle

A payment settles once the block that contains it is finalized on Polygon. Settlement sends your share to your wallet and the fees to the fee wallets in one transaction, followed by a signed webhook.

Transfers under 1 USDT stay at the address until its balance reaches 1 USDT, and then settle together.

Our relayer normally triggers settlement, but anyone can. The contract's settlement function is public and always pays the same fixed wallets, so funds at a deposit address do not depend on our servers being online.

A webhook that fails is retried after 30 seconds and after 120 seconds. Reconcile with the API history and the blockchain, not with webhooks alone.

05Blockchain risks

The Service runs on a public blockchain and on a token issued by a third party. By using it you accept that:

  • blockchain transactions are final. We cannot reverse, cancel or refund a payment or a payout;
  • deposit addresses accept only USDT on Polygon. Any other token, or USDT sent on another network, may be lost for good, and we cannot recover it;
  • a payout sent to the wrong address cannot be recovered. Check the destination before you sign;
  • congestion, outages or changes to the Polygon network can delay settlement or raise network fees;
  • the USDT issuer can block addresses. A blocked address can stop a deposit or a payout from settling;
  • our contracts have no owner, pause or upgrade function. That is what keeps them non-custodial, but it also means a defect cannot be patched in addresses already issued.

06Your responsibilities

You are responsible for your business and for your relationship with your customers, including:

  • holding the licences or registrations your business needs where you operate, such as for gaming, trading or money services;
  • following the anti-money-laundering, sanctions, consumer protection and tax rules that apply to you;
  • support, refunds and disputes with your customers. We are not a party to your sales;
  • the identifiers you send us. Use internal IDs as playerId and orderId, never names, emails or other personal details.

If you are a platform and create sites for other merchants, you are responsible for how those merchants use the Service and must make sure they follow these Terms.

07Prohibited use

You may not use the Service:

  • for anything illegal where you or your customers are, including selling goods or services that are banned there;
  • to move proceeds of crime or to deal with people, companies or regions under sanctions;
  • for fraud, scams, pyramid schemes or misleading offers;
  • to attack, overload or probe the API, or to get around its limits or security.

We may ask for information about your business and your payments to check that you comply with this section.

08Suspension and termination

You can stop using the Service at any time. We may suspend or close your API access if you breach these Terms, if the law or an authority requires it, or if your use puts the Service or other customers at risk. Where we can, we will tell you first and explain why.

Suspension does not touch your funds. Settled payments are already in your wallet, and deposit addresses still send their balance only to the wallets fixed in them. Ask your customers to stop using addresses you no longer support.

09Changes to the Service

We may add, change or remove API features. We will give you reasonable notice of changes that break existing integrations, unless a security issue or the law requires us to act sooner.

We work to keep the Service available, but we don't guarantee that it will be uninterrupted or free of errors.

10Intellectual property

The SmartPayPro software, website, brand and documentation belong to us or our licensors. While your account is active, you have a limited, non-exclusive and non-transferable right to use the API to integrate the Service into your products. You keep all rights to your data and your products.

If you send us suggestions, we may use them without any obligation to you.

11Disclaimers

The Service is provided "as is" and "as available". To the extent the law allows, we disclaim all warranties, express or implied, including fitness for a particular purpose and non-infringement. Nothing on our website is financial, legal or tax advice.

12Limitation of liability

To the extent the law allows, we are not liable for indirect or consequential losses, lost profits or lost data, or for losses caused by blockchains, tokens, wallets or third-party services we don't control.

Our total liability for all claims related to the Service is limited to the fees you paid us in the 12 months before the event that gave rise to the claim. Nothing in these Terms limits liability that the law does not allow us to limit, such as for fraud.

13Indemnity

You will cover our losses and reasonable costs from third-party claims, including from your customers or from authorities, that arise from your business, your breach of these Terms or your violation of the law.

14Changes to these Terms

We may update these Terms. The date at the top of this page shows the current version. We will notify active customers of material changes before they take effect, and using the Service after that means you accept the new Terms.

15Governing law

These Terms are governed by the laws of the country where SmartPayPro's operating company is registered, and its courts will settle any dispute, unless your agreement with us says otherwise.
